Terms of Use

Effective Date: September 15, 2026 Welcome to bluestsolutions.com (the “Site”), operated by Bluest (“Bluest,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the Site, its content, features, materials, and related online resources. By accessing or using the Site, you acknowledge that you have read and understand these Terms. If you do not agree with these Terms, please do not use the Site. These Terms govern use of the Site only. Consulting, advisory, assessment, transformation, implementation, or other professional services provided by Bluest are governed by separate written agreements.

1. Purpose of the Site

The Site provides information about Bluest, our capabilities, methodologies, services, experience, perspectives, and ways to contact us. Content may include information regarding:
  • Independent Organizational Assessment
  • Operational Excellence
  • Digital Transformation
  • Portfolio Intelligence & Execution
  • Bluest Navigator™
  • Organizational intelligence
  • Transformation and modernization
  • Representative experience and results
  • Related business and management topics
Website content is provided for general informational and business-development purposes. Nothing on the Site constitutes a binding offer to provide professional services unless expressly stated in a written agreement signed or otherwise authorized by Bluest.

2. No Client or Advisory Relationship

Accessing the Site, reviewing its content, contacting Bluest, submitting an inquiry, scheduling a discovery conversation, or exchanging preliminary communications does not, by itself, create:
  • A client relationship
  • A consulting or advisory relationship
  • A fiduciary relationship
  • A partnership or joint venture
  • An agency relationship
  • A contractual engagement
  • A duty to provide services
  • A confidential relationship
A professional engagement with Bluest begins only when the applicable parties enter into an authorized written agreement governing the engagement. Bluest may accept or decline any proposed engagement in its discretion.

3. No Professional Advice

Information available through the Site is general in nature and should not be treated as professional advice tailored to your organization or circumstances. Organizational decisions involving strategy, operations, technology, workforce, governance, compliance, risk, investment, or transformation should be evaluated in light of the specific facts, evidence, objectives, constraints, and requirements applicable to the organization. Website content is not a substitute for an organizational assessment, professional engagement, legal advice, financial advice, cybersecurity advice, regulatory advice, or other specialized professional services. You remain responsible for decisions made based on your use or interpretation of information available through the Site.

4. No Guarantee of Results

Bluest may describe representative engagements, methodologies, outcomes, improvements, or transformation results. Past or representative results do not guarantee future outcomes. Results may vary based on factors including:
  • Organizational conditions
  • Leadership decisions
  • Available resources
  • Workforce capacity
  • Data quality
  • Implementation discipline
  • Technology
  • Governance
  • Stakeholder participation
  • Market conditions
  • Regulatory requirements
  • Timing
  • Scope
  • Client actions
Any examples, case studies, metrics, or descriptions appearing on the Site should be considered in their specific context. Bluest does not guarantee that use of a particular framework, methodology, recommendation, or service will produce a specific financial, operational, organizational, technological, or other result. The FTC's online advertising guidance emphasizes that advertising representations and disclosures must not be misleading and that material qualifications should be clear and conspicuous.

5. Intellectual Property

Unless otherwise stated, the Site and its contents are owned by, licensed to, or used with permission by Bluest. Protected materials may include:
  • Text and written content
  • Graphics
  • Logos
  • Brand elements
  • Visual designs
  • Diagrams
  • Frameworks
  • Models
  • Assessment structures
  • Methodologies
  • Templates
  • Tools
  • Presentation concepts
  • Website design
  • Images
  • Illustrations
  • Downloadable materials
  • Reports
  • Articles
  • Business methods
  • Other original content
These materials may be protected by copyright, trademark, trade-secret, unfair-competition, and other applicable laws. Except as expressly permitted by these Terms, no portion of the Site may be copied, reproduced, republished, modified, distributed, sold, licensed, displayed, transmitted, commercially exploited, or used to create derivative materials without prior written authorization from Bluest.

6. Bluest Navigator™

Bluest Navigator™ is a proprietary methodology developed and used by Bluest. The name, methodology, structure, frameworks, assessment logic, evidence model, evaluation approaches, scoring concepts, processes, tools, templates, terminology, visual representations, transformation logic, and related materials associated with Bluest Navigator™ may constitute proprietary intellectual property of Bluest. Accessing descriptions of Bluest Navigator™ on the Site does not grant any license or right to:
  • Reproduce the methodology
  • Replicate its structure
  • Commercialize it
  • Incorporate it into competing services
  • Create derivative assessment products
  • Use its materials to train or develop competing methodologies or systems
  • Represent the methodology as your own
  • Distribute proprietary Bluest materials to third parties
Any rights granted to a client concerning Bluest Navigator™ or related materials will be governed by the applicable written client agreement. This provision is important because it establishes the distinction we have discussed: a client may receive a deliverable, roadmap, assessment, or other work product without automatically acquiring the underlying Bluest methodology and reusable intellectual property.

7. Limited Permission to Use Website Content

Bluest grants you a limited, revocable, nonexclusive, nontransferable permission to access and use the Site for legitimate personal, professional, or internal business-information purposes. You may share links to publicly available Site pages. You may make reasonable copies or excerpts for internal reference provided that:
  • The material is not modified in a misleading manner
  • Bluest remains identified as the source where appropriate
  • The material is not sold or commercially redistributed
  • The use does not imply Bluest endorsement
  • The use does not violate these Terms or applicable law
No other rights are granted by implication, estoppel, or otherwise.

8. Prohibited Uses

You may not use the Site in a manner that could harm Bluest, other users, the Site, or its underlying systems. Without limiting the foregoing, you may not:
  • Use the Site for unlawful, fraudulent, deceptive, or abusive activity
  • Attempt to gain unauthorized access to the Site, servers, accounts, systems, or networks
  • Circumvent security measures
  • Introduce malware, malicious code, or harmful technology
  • Interfere with the operation or security of the Site
  • Use automated tools to overload, disrupt, or impair the Site
  • Scrape, harvest, or systematically extract substantial portions of Site content without authorization
  • Collect information about other users without authorization
  • Impersonate Bluest or another person or organization
  • Misrepresent an affiliation with Bluest
  • Remove copyright, trademark, attribution, or proprietary notices
  • Reproduce Bluest methodologies or proprietary materials for commercial use
  • Use Site content to create a substantially similar or competing commercial product or service
  • Use proprietary Bluest content to train, fine-tune, benchmark, or develop artificial-intelligence or machine-learning systems without prior written authorization
  • Attempt to reverse engineer proprietary digital tools or materials made available through Bluest
Ordinary indexing by legitimate search engines is not intended to be prohibited by this provision.

9. Trademarks and Brand Assets

Bluest names, logos, taglines, service names, proprietary methodology names, graphics, and other brand identifiers may constitute trademarks, service marks, trade names, or other protected brand assets. This includes, where applicable: Bluest
Bluest Solutions
Bluest Navigator™
Navigate Change. Accelerate Impact. Nothing on the Site grants permission to use Bluest trademarks or brand assets in advertising, marketing, endorsements, case studies, presentations, commercial materials, domain names, social-media accounts, products, or services without prior authorization. Use of a Bluest mark does not imply affiliation, sponsorship, certification, or endorsement unless expressly authorized by Bluest.

10. Information Submitted Through the Site

You may provide information to Bluest through contact forms, email, or other communication channels. You represent that information you knowingly submit through the Site is accurate to the best of your knowledge and that you have the right to provide it. Do not submit information that you are prohibited from providing. The Site is not intended to receive highly sensitive, regulated, classified, controlled, or highly confidential information. Please do not submit through general website forms:
  • Trade secrets
  • Classified information
  • Export-controlled information
  • Protected health information
  • Social Security numbers
  • Financial account credentials
  • Passwords
  • Confidential personnel records
  • Highly sensitive proprietary materials
  • Information subject to special contractual or regulatory restrictions
Additional information concerning data submitted through the Site is available in the Bluest Privacy Policy.

11. Confidentiality of Inquiries

Bluest treats business inquiries responsibly; however, submitting information through the Site does not, by itself, create a legal duty of confidentiality. Do not assume that information submitted through a general contact form or unsolicited communication is protected under a nondisclosure agreement. When a prospective or active engagement requires exchange of confidential information, the parties should establish appropriate confidentiality obligations through a written nondisclosure agreement, consulting agreement, master services agreement, statement of work, or other applicable agreement. Once such an agreement is in place, its confidentiality provisions will govern the information covered by that agreement.

12. Unsolicited Ideas and Materials

Bluest welcomes legitimate inquiries about our services but does not request unsolicited proprietary business ideas, methodologies, inventions, product concepts, confidential strategies, or other materials through the Site. If you voluntarily submit unsolicited non-confidential ideas or suggestions regarding the Site or Bluest services, you acknowledge that Bluest may already be developing or considering similar concepts. Nothing in these Terms transfers ownership of your pre-existing intellectual property to Bluest. Likewise, submission of unsolicited information does not restrict Bluest from independently developing ideas, methods, services, or materials that may be similar.

13. Privacy

Your use of the Site is also subject to the Bluest Privacy Policy, which explains how personal information may be collected, used, disclosed, retained, and protected. The Privacy Policy also describes Bluest's use of technologies including Google Analytics, Google Tag Manager, Meta Pixel, and Google reCAPTCHA. The Privacy Policy is incorporated into these Terms by reference with respect to privacy practices associated with the Site.

14. Third-Party Services and Links

The Site may contain links to, integrations with, or functionality provided by third-party websites, services, platforms, or technologies. These may include analytics providers, social-media services, scheduling tools, security providers, search engines, or other external resources. Bluest does not control independent third-party websites or services and is not responsible for their:
  • Content
  • Availability
  • Security
  • Accuracy
  • Privacy practices
  • Terms
  • Products
  • Services
A link to a third-party resource does not necessarily constitute an endorsement. Your use of a third-party service is governed by that provider's applicable terms and policies.

15. Website Availability

Bluest may modify, suspend, restrict, replace, or discontinue any portion of the Site at any time. We do not guarantee that:
  • The Site will always be available
  • Access will be uninterrupted
  • Every feature will remain available
  • Website content will always be current
  • Errors will always be corrected immediately
  • The Site will be free from technical defects
Bluest may conduct maintenance, updates, redesigns, security changes, or other modifications without notice.

16. Accuracy and Changes to Website Content

Bluest seeks to provide accurate and useful information but does not warrant that every item on the Site is complete, current, or error-free at all times. Services, methodologies, personnel, capabilities, availability, business priorities, technologies, results, and other information may change. Bluest may revise website content without notice. If a matter is important to a potential engagement or business decision, you should confirm the relevant information directly with Bluest.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and its content are provided on an “as is” and “as available” basis. Bluest disclaims warranties concerning the Site, whether express, implied, statutory, or otherwise, including warranties of:
  • Merchantability
  • Fitness for a particular purpose
  • Noninfringement
  • Availability
  • Accuracy
  • Reliability
  • Security
  • Completeness
Nothing in this section excludes a warranty or right that cannot lawfully be excluded.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Bluest and its owners, officers, employees, contractors, representatives, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:
  • Access to or use of the Site
  • Inability to access the Site
  • Reliance on website content
  • Third-party websites or services
  • Unauthorized access or security incidents outside Bluest's reasonable control
  • Decisions made based solely on general website information
This limitation includes, where permitted, loss of profits, revenue, opportunities, data, goodwill, or business interruption. Nothing in these Terms limits liability that cannot lawfully be excluded or limited.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Bluest from claims, liabilities, damages, losses, and reasonable costs arising directly from your:
  • Unlawful use of the Site
  • Material violation of these Terms
  • Infringement of another party's intellectual-property rights
  • Unauthorized use or distribution of Bluest proprietary materials
  • Intentional interference with the Site or its security
This provision does not require you to indemnify Bluest for conduct for which indemnification is prohibited by law.

20. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any dispute arising exclusively from use of this Site that cannot be resolved informally will be subject to the jurisdiction of a court of competent jurisdiction in Maryland, except where applicable law provides otherwise.

21. Changes to These Terms

Bluest may update these Terms periodically to reflect changes in:
  • The Site
  • Our business
  • Our services
  • Technology
  • Legal requirements
  • Intellectual-property practices
  • Security practices
The Effective Date displayed at the top of the Terms identifies the current version. Your continued use of the Site after revised Terms become effective constitutes continued use subject to the revised Terms to the extent permitted by applicable law. Material changes may be communicated by additional notice where appropriate or legally required.

22. Severability

If any provision of these Terms is found unenforceable or invalid, that provision will be interpreted or limited to the extent necessary to make it enforceable where possible. The remaining provisions will remain in effect.

23. No Waiver

A failure by Bluest to enforce a provision of these Terms does not waive the right to enforce that provision or another provision later.

24. Entire Website Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing general use of the Site. They do not replace or modify a separately executed NDA, consulting agreement, master services agreement, statement of work, licensing agreement, or other written agreement between Bluest and another party. If a separate written agreement conflicts with these Terms regarding an engagement governed by that agreement, the separate written agreement controls to the extent of the conflict.
